The client is the co-founder of a Nairobi-based fintech startup focused on mobile-first savings and lending solutions for Kenya’s underserved informal sector workers. The two-person founding team had been developing their product for several months, operating under an informal arrangement with no legal structure in place.

With a credible product concept and initial interest from two angel investors, the founders needed to move quickly. Investors required a properly incorporated company with a clear ownership structure before any conversation about terms could progress. The brand name, which the founders had already built into the product and early marketing materials, was not protected.

The investors needed to see a clean, structured entity before proceeding.

Company Structure and Incorporation

FIRM began by working with the founders to determine the correct shareholding structure, director appointments, and share capital arrangement that would be appropriate for a company planning to raise angel investment. We advised on the structure before filing, not after, so the company was set up correctly from day one. Once the structure was agreed, FIRM prepared the Memorandum and Articles of Association, conducted the company name search and reservation, and filed the incorporation documents with the Registrar of Companies. The Certificate of Incorporation was issued within five business days.

Post-Incorporation Tax and Banking Setup

Immediately after incorporation, FIRM handled KRA PIN registration for the company. With the company PIN confirmed, the founders were able to proceed with opening a business bank account. FIRM also provided guidance on the company’s initial tax obligations, including what returns would need to be filed and when, so the founders could plan accordingly and avoid early compliance gaps.

KIPI Trademark Registration

Concurrently with the incorporation process, FIRM initiated a trademark search at the Kenya Industrial Property Institute for the founders’ brand name and logo. Once availability was confirmed, FIRM prepared and filed the trademark application across the relevant product and service classes. The application was submitted within the 10-day engagement window. While the full trademark registration process with KIPI takes considerably longer, the filing date established the founders’ priority claim to the brand immediately.
